By accessing or using our Website, you agree to these Terms. If you do not agree, please discontinue use of the Website.

Additional terms, service agreements, registration forms, waivers, or policies may apply to specific services, events, camps, or coaching activities. Where applicable, those terms will supplement these Terms.

We may modify, expand, suspend, or discontinue any part of the Website or our service offerings, subject to applicable contractual obligations and law.

4. Website Use and Eligibility

You may use our Website only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Website in violation of applicable laws or regulations.

  • Attempt to gain unauthorized access to our systems, accounts, or data.

  • Introduce malicious software, harmful code, or other security threats.

  • Copy, scrape, reproduce, distribute, or exploit Website content without authorization.

  • Interfere with the operation, security, or availability of the Website.

  • Submit false, misleading, unlawful, or infringing information.

  • Use our Website or services to violate the rights of others.

You are responsible for ensuring that information you submit to us is accurate and up to date.

5. Inquiries, Quotes, and Service Agreements

Submitting an inquiry through our Website, email, or social media does not automatically create a contractual relationship or guarantee that SPORTMARKS will provide services.

Quotes and proposals may specify the services offered, fees, deliverables, timelines, payment terms, and other conditions.

Unless otherwise stated in writing, a quote is an invitation to engage in a service arrangement and does not guarantee availability.

A binding service agreement is established when the applicable terms have been accepted by both parties, as required by the relevant agreement.

If a separate signed agreement, accepted proposal, or service-specific policy conflicts with these Terms, the more specific agreement will generally govern the relevant service to the extent permitted by law.

6. Pricing and Payments

Prices, fees, and payment schedules will be communicated in the applicable quote, proposal, registration page, invoice, or service agreement.

Unless otherwise stated, prices are quoted in U.S. dollars.

Applicable taxes, processing fees, travel expenses, venue charges, equipment costs, or other agreed expenses may be charged separately where disclosed or agreed upon.

Clients agree to pay invoices and fees according to the payment terms provided for the relevant service.

SPORTMARKS may use third-party payment processors. Payments processed through these providers may be subject to their separate terms and privacy policies.

If a payment is overdue, we may take reasonable steps to collect the amount owed or suspend future services, subject to applicable law and the relevant agreement.

7. Cancellations, Refunds, and Rescheduling

Cancellation, refund, rescheduling, and deposit terms may vary depending on the service, camp, event, or project.

The applicable terms will be communicated in the relevant registration information, proposal, invoice, or service agreement.

Clients should contact SPORTMARKS as soon as possible if they need to cancel or reschedule a service.

For camps, clinics, training sessions, and other events, availability, venue restrictions, participant numbers, weather, safety concerns, or circumstances beyond our reasonable control may require a schedule or format change.

Where a specific cancellation or refund policy applies, it will govern the relevant booking, subject to applicable law.

Nothing in these Terms excludes any refund, cancellation, or other right that cannot legally be excluded.

8. Sports, Coaching, Camps, and Events

Participation in sports, basketball training, camps, clinics, and other physical activities involves inherent risks, including the risk of injury.

Participants are responsible for participating within their abilities and informing the appropriate personnel of relevant limitations or safety concerns.

SPORTMARKS may establish reasonable conduct, participation, safety, and facility rules for its activities. Participants may be required to follow additional instructions from coaches, event organizers, venue operators, or other authorized personnel.

Participants must comply with applicable facility rules and instructions intended to maintain a safe environment.

Where appropriate or required, separate waivers, medical information forms, emergency contact details, or other participation documents may be required before an activity.

Nothing in these Terms waives rights or excludes liability where such a waiver or exclusion is prohibited by law.

9. Minors and Parental or Guardian Responsibility

Certain SPORTMARKS services may involve children or individuals under the age of 18.

Where a participant is a minor, a parent or legal guardian may be required to complete registration, provide consent, supply emergency contact information, and accept applicable service-specific terms on the minor's behalf.

Parents and legal guardians are responsible for ensuring that information supplied during registration is accurate and for reviewing applicable participation rules, safety requirements, and permissions.

Additional permissions may be required for photography, video recording, testimonials, or promotional use of a minor's image or personal information.

SPORTMARKS will handle personal information in accordance with its Privacy Policy and applicable law.

These Terms do not replace any separate parental consent, participation waiver, or authorization required for a specific activity.

10. Intellectual Property

Unless otherwise stated, the Website and its contents, including text, graphics, logos, branding, designs, photographs, videos, and other materials, are owned by SPORTMARKS or used with permission.

These materials are protected by applicable intellectual property laws.

You may access and use the Website for personal or legitimate business information purposes. You may not reproduce, modify, distribute, publicly display, sell, or commercially exploit our content without prior written permission, except where permitted by law.

Use of SPORTMARKS's name, logo, branding, or other protected materials requires prior authorization unless otherwise permitted by law.

Client Deliverables

Ownership, licensing, usage rights, and transfer of rights relating to custom marketing materials, websites, photographs, videos, designs, and other client deliverables will be determined by the applicable service agreement or written arrangement.

Unless otherwise agreed, clients are responsible for ensuring that materials they provide to SPORTMARKS may lawfully be used for the requested work.

11. Client-Provided Content and Materials

If you submit photographs, videos, logos, written content, personal information, or other materials to SPORTMARKS, you represent that you have the rights and permissions necessary to provide them for the intended purpose.

You authorize SPORTMARKS to use those materials as reasonably necessary to perform the agreed services, subject to the applicable agreement, permissions, and law.

This authorization does not automatically grant SPORTMARKS the right to use client materials for unrelated promotional purposes.

Clients remain responsible for the accuracy, legality, and appropriate authorization of materials they provide.

12. Marketing, Social Media, and Third-Party Platforms

SPORTMARKS may provide services involving social media platforms, digital advertising, website analytics, third-party software, or other external services.

The availability, functionality, policies, algorithms, and performance of these third-party services are outside our complete control.

We cannot guarantee specific audience growth, engagement levels, search rankings, advertising performance, leads, conversions, sponsorships, revenue, or other business outcomes unless expressly agreed in a written agreement.

Clients are responsible for maintaining appropriate access permissions and complying with the rules of third-party platforms used in connection with their accounts.

Where third-party platforms process personal information, their own terms and privacy policies may apply.

13. Website Availability and Accuracy

We aim to keep the Website accurate, functional, and available. However, we do not guarantee that the Website will always be available, uninterrupted, error-free, or free from harmful components.

Website content is provided for general informational purposes and may be updated, corrected, or removed without notice.

Descriptions of services, examples of previous work, testimonials, and other materials do not guarantee that identical results will be achieved for every client.

We reserve the right to correct errors and update Website information as appropriate.

14. Third-Party Links and Services

Our Website may contain links to third-party websites, tools, platforms, or services.

These links are provided for convenience or informational purposes. SPORTMARKS does not control and is not responsible for the content, availability, terms, security, or privacy practices of third-party websites.

Accessing a third-party website or using an external service is at your own discretion and subject to the applicable third party's terms and policies.

15. Privacy

Your use of the Website is also subject to our Privacy Policy, which explains how SPORTMARKS collects, uses, stores, and discloses personal information.

Please review our Privacy Policy at:

https://www.sportmarks.net/privacy-notice

If the Privacy Policy is updated, the version published on the Website will apply according to its effective date and applicable law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, SPORTMARKS will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising out of or relating to the use of the Website or our services.

To the maximum extent permitted by applicable law, SPORTMARKS's total liability arising out of or relating to a particular service will be limited to the amount paid or payable to SPORTMARKS for that specific service during the three months preceding the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited or excluded, including liability that applicable law prohibits us from excluding or limiting.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or other liability that cannot lawfully be excluded or limited.

Separate service agreements may contain additional or different liability provisions to the extent permitted by law.

17. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, liabilities, damages, and reasonable expenses arising from your unlawful use of the Website, your material breach of these Terms, or your infringement of another person's rights.

This provision does not apply to the extent a claim results from SPORTMARKS's own negligence, willful misconduct, breach of law, or other conduct for which responsibility cannot legally be shifted to you.

Any additional indemnification obligations for a specific service must be established in the applicable service agreement.

18. Dispute Resolution

If a dispute arises out of or relates to these Terms, the Website, or a service provided by SPORTMARKS, the parties will first attempt to resolve the matter through good-faith informal negotiations.

A party should provide written notice describing the nature of the dispute and the relief sought. The parties will make reasonable efforts to resolve the dispute informally before initiating formal proceedings.

If the dispute cannot be resolved through informal negotiations, the parties may proceed to arbitration where agreed by the parties and legally permitted, under procedures established in a separate written agreement or an enforceable arbitration provision.

Nothing in this section prevents either party from seeking urgent interim relief where appropriate or from exercising rights that cannot lawfully be waived.

Any arbitration provision must comply with applicable law, including any mandatory consumer protections. These Terms do not create a binding arbitration agreement where the required agreement or consent has not been validly obtained.

19. Governing Law

These Terms will be governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Mandatory consumer protection laws and other rights that cannot legally be waived remain unaffected.

The application of this section does not override any mandatory jurisdictional or procedural requirements imposed by applicable law.

20. Termination and Suspension

We may suspend or restrict access to the Website where reasonably necessary for security, maintenance, legal compliance, prevention of misuse, or protection of our rights.

We may also suspend or terminate a service relationship in accordance with the applicable service agreement and applicable law.

Termination of Website access does not automatically cancel any existing payment obligations, contractual rights, or other provisions that are intended to survive termination.

21. Changes to These Terms

SPORTMARKS may update these Terms from time to time to reflect changes in our business, services, Website, technology, or legal obligations.

The current version will be published on the Website with an updated effective date.

Where required by law or an existing agreement, we will provide additional notice or obtain consent before changes take effect.

Your continued use of the Website after updated Terms are published may indicate acceptance where legally appropriate, but it does not replace any separate consent or agreement required by law.

22. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Any invalid or unenforceable provision will be interpreted or limited only to the extent necessary to make it enforceable where legally permitted.

23. No Waiver

If SPORTMARKS does not enforce a provision of these Terms on one occasion, this does not mean that we waive our right to enforce that provision or any other provision in the future.

Any waiver must be consistent with applicable law.

24. Entire Agreement

These Terms govern your general use of the Website. They do not replace any separate agreement governing a specific service, project, camp, event, or coaching arrangement.

Where a separate written agreement applies, the documents will be read together, and the more specific terms will govern the relevant service to the extent of any conflict and as permitted by law.
